We’re delighted to share some big news.
The deal is signed. AlphaTON Capital (Nasdaq: ATON) has signed the deal to acquire a 60% controlling interest in GAMEE, marking the beginning of a new chapter for our platform and for Web3 gaming within the Telegram ecosystem. This makes GAMEE the first ever Nasdaq-listed Web3 gaming company.
Key Details of the Deal
The agreement values GAMEE at $18 million, with EBITDA-based earn-outs over the next two years.
The transaction also includes GAMEE ecosystem assets transferred from the Animoca Brands treasury, including:
- 878,048,199.87 GMEE tokens (51% of treasury holdings)
- 20,478,118,311.609 WAT tokens (51% of treasury holdings)
In addition, AlphaTON Capital will acquire $2 million worth of GMEE tokens from the open market over a 90-day period following closing.
Strategic Alliance with Animoca Brands
Alongside the acquisition, AlphaTON Capital and Animoca Brands have formalized a Strategic Alliance to explore broader opportunities across blockchain and social gaming.
This collaboration brings together AlphaTON’s focus on scaling the Telegram ecosystem with Animoca Brands’ global leadership in Web3 infrastructure and digital property rights.
